Our client is a market leader in the Technology industry looking for Senior Manager of Legal, Regulatory & Compliance to provide strategic direction and oversee Legal, Regulatory and Compliance functions by driving the formulation and monitoring the implementation of policies, processes and procedures in order to ensure the mitigation and elimination of any legal exposure and risks while enforcing compliance to relevant laws and regulations in order to protect the business interests of the organization.


Key Responsibilities will include

 

Board Secretary

 

  • Provide expert advice and support to the Chair, Chief Executive, Board and Committee Chairs on all matters relating to statutory and legislative compliance, and governance and constitutional matters.
  • Formulate meeting agendas of the Boards and Committees and advise management on content and organisation of reports or presentations for meetings.
  • Compilation and periodic update of a meetings folder for board meetings, containing all the necessary documents enabling members of the board to effectively carry out their duties.
  • Assist with the preparation and amendment of organizational regulations, allocation of authority document, corporate governance, and risk management guidelines.
  • Establish, maintain, and review arrangements for corporate governance documentation particularly its storage, retention, and disposal.
  • Supporting the preparation, publication, distribution, and presentation of the annual report

 

Legal & Regulatory

 

  • Guide the development of the legal strategy and guidelines and provide relevant approvals, to ensure that the organisation is constantly adhering to the applicable laws and regulations.
  • Lead the monitoring and interpretation of laws and regulations which might impact business and operations and advise on modifications to legal policies, procedures, etc.
  • Define internal governance policies relating to legal risk / compliance management frameworks to ensure compliance with government and professional regulations.
  • Lead and direct the provision of legal advice and recommendations to aid the Board, the CEO and Senior Management in the decision-making process to protect the legal interests of the organisation against any legal liability.
  • Oversee the development and maintenance of governance enablers (e.g., regulatory mandates, values, policies & procedures, delegation of authority, etc.) and corporate governance framework to clarify accountabilities, roles, and responsibilities across the organization.
  • Oversee the execution of internal governance policies and legal risk and compliance management frameworks to ensure compliance with government regulations.
  • Advise and provide guidance on legal implications of business decisions and practices and reporting risk areas to be mitigated, including but not limited to capacity procurement tenders, divestments and restructurings, financings, joint ventures, regulatory and litigation matters.
  • Lead the draft, review, negotiation, and execution of commercial agreements and documentation, including procurement agreements, lending and financing agreements, partnership agreements and purchase agreements.

  • Lead the management of various litigation and dispute settlement activities and legal negotiations.
  • Oversee the negotiation of legal settlements and provide the necessary recommendations to the parties concerned to address all legal issues before being transferred to the courts.
  • Represent the organization before governmental authorities or in legal courts in any legal issue which require further resolution.

 

Compliance

 

  • Establish and oversee the Corporate Compliance Program, functioning as an independent and objective body to review and evaluate compliance issues within the organization, ensuring the Board of Directors, management and employees are following the rules and regulations of regulatory bodies.
  • Identify and evaluate the compliance risk within the organization and strengthen AML Framework and enhancing onboarding controls.
  • Communicate with Competent Authorities and be a Point of Contact Report accordingly to executive management and the Board of Directors, as appropriate and be Point of Contact for STRs and reporting to the regulator.
  • Oversee the identification and assessment of non-compliance risks to understand the root causes and impact of each risk in coordination with concerned stakeholders.
  • Lead the evaluation of non-compliance risks in coordination with concerned stakeholders and the identification of appropriate treatments to minimize risks on the organisation.

Who we're looking for

  • Must have a bachelor’s degree in law, legal or relevant disciplines.
  • Must have 8-10 years of experience working with large corporates with minimum of 3 years’ experience managing board secretary responsibilities.
  • Experience in drafting and reviewing legal contracts, assisting the procurement and vendor legal contracts.
  • Proven experience in legal advisory role with court procedures, litigation processes and contracts
  • A good understanding of the legal and governance statutory framework with extensive knowledge of Saudi Arabia laws, rules, and regulations.
  • Detailed level technical level knowledge in relation to corporate governance and company secretariat requirements
